Foundari Standard Engagement Terms

The following provisions apply identically across all four engagement types. They are stated in each document individually for completeness, but the substance is the same:

Confidentiality: Mutual. Survives the engagement indefinitely. We don't share your data. You don't share our methods.

Intellectual Property: Delivered work product transfers to client upon final payment. Foundari retains methodologies and reusable tools. No marketing use of client identity without written permission.

Dispute Resolution: Direct conversation → mediation (30 days) → binding arbitration under AAA rules in Ohio.

Limitation of Liability: Capped at fees paid for the relevant engagement period. No indirect or consequential damages.

Governing Law: State of Ohio.

Entire Agreement: The signed proposal plus the applicable terms document constitute the complete agreement. Verbal commitments or prior discussions not captured in these documents are not binding.

Amendments: These terms may be updated by Foundari. The version in effect at the time of proposal signing governs that engagement. Subsequent updates apply only to future engagements.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
